Arbitration is a form of dispute resolution in which the parties agree to submit their disputes and potential disputes to a neutral third party (called an arbitrator) for a binding decision, rather than having such disputes resolved in a lawsuit, in court, by trial by judge or jury. The arbitrator is required to issue a reasoned written award, which includes all findings of fact and conclusions of law on which the award was based. The arbitrator has no power to make errors of law, and the arbitrator's award may be vacated or corrected through judicial review by a court of competent jurisdiction. Arbitration Procedures:
Claims will be heard by a single arbitrator. The arbitrations shall take place in Pinellas County, Largo, Florida, USA, but the parties may choose whether to appear in person, by telephone or by filing documents. The arbitration shall be governed by the Federal Arbitration Act ("FAA") and the internal laws of the State of Florida, without regard to principles of conflicts of laws. Any dispute thereunder shall be resolved exclusively by one arbitrator. If, and only if, the arbitrator determines that the FAA does not apply, New York law governing arbitration agreements will apply. All disputes regarding whether the foregoing mutual arbitration provisions are unenforceable, abusive, valid, void, voidable or voidable shall be determined exclusively by an arbitrator and not by any court.
Exclusion from Arbitration:
Notwithstanding the terms of this Arbitration Agreement, you may opt out of taking a Claim to court and not through arbitration if you exclude yourself from these arbitration proceedings within 30 days from the date you first purchase any of NaturalSlim's products or services® as the "Opt-Out Date." You may opt out by sending a written notice via email to sales@naturalslim.com. Your written notice must include (1) your name, (2) your address, and (3) a clear statement that you do not wish to resolve disputes through arbitration. Your decision to opt out will have no adverse effect on your relationship with NaturalSlim®. You are responsible for ensuring that NaturalSlim® receives your opt-out notice, so you may choose to send notice by a means that provides written receipt. Any request for exclusion received after the Opt-Out Date will be invalid and you must take your Claim through arbitration.
Class Action Waiver:
You and NaturalSlim® agree that you may bring or participate in Claims against NaturalSlim® only in your respective individual capacity, and not as a plaintiff or member of a purported class, consolidated or representative action. Unless you and NaturalSlim® otherwise agree in writing, the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated and may not otherwise preside over a representative or class action. Notwithstanding any other provision contained in this Agreement, any Claim that all or part of this Class Action Waiver is unenforceable, abusive, void or voidable may only be determined by a court of competent jurisdiction and not by an arbitrator.
